LEGAL NOTICE OF PROPOSED
ACTION BY THE
TOWN OF MCINTOSH, ALABAMA WITH REGARD TO AN ECONOMIC DEVELOPMENT INCENTIVE AGREEMENT
Pursuant to Amendment No. 772 to the Constitution of Alabama (1901) (Section 94.01(a)(3) of the Recompiled Constitution of Alabama and hereinafter referred to as “Amendment No. 772”), the Town of McIntosh, Alabama (the “Town”) gives notice that its Town Council, as the governing body of the Town (the “Town Council”), will consider at a public meeting to be held on September 8, 2026, beginning at 6:00 p.m. local time, at McIntosh Town Hall, 206 Commerce Street, McIntosh, AL 36553, approving a resolution that authorizes the execution and delivery of an Economic Development Incentive Agreement (the “Agreement”) by and between the Town and Jack’s Family Restaurants, LP (the “Developer”).
BACKGROUND
Subject to the incentives in the proposed Agreement, the Developer proposes to purchase and develop the currently Town-owned property generally located at North 3rd Street in the Town (the “Project Site”) and to construct and operate a Restaurant on the Project Site (the “Restaurant,” and together with the Project Site, the “Project”). The Project Site consists of approximately ± 2.40 acres. The Developer is expected to make a minimum capital investment of not less than One Million Seven Hundred Thousand Dollars ($1,700,000.00) in the Project. The Project is expected to increase tax revenues, promote economic development, and provide employment opportunities for Town residents, and is expected to generate annual taxable sales of approximately $1,700,000.00 and a significant number of full- and part-time jobs.
Under the proposed Agreement, the Town proposes to provide economic development incentives to the Developer that may include the expenditure of public funds and/or the granting of things of value (the “Economic Development Incentives”), including: (a) conveyance of the Project Site to the Developer under the PSA for a purchase price of One Hundred Thousand and No/100 Dollars ($100,000.00); and (b) a quarterly sales tax rebate for up to sixteen (16) years from the date a Certificate of Occupancy is issued for the Restaurant equal to seventy percent (70%) of the Town’s Town Tax Revenue derived solely from the operation of the Restaurant (i.e., the Town’s five percent (5%) general sales tax), up to a maximum aggregate rebate amount of One Million Dollars ($1,000,000.00). Any rebate is limited to Town Tax Revenue actually received from the Restaurant and is not a general obligation of the Town. The proposed incentives do not include any abatement or exemption of ad valorem taxes.
While the Developer would receive certain benefits under the proposed Agreement, the Town Council expects to determine at its public meeting, or any continuance thereof, that the expenditure of public funds and/or the granting of things of value in connection with the proposed Agreement will serve a valid and sufficient public purpose, notwithstanding any incidental benefit accruing to the Developer or any other private entity. The public benefits sought and expected to be achieved by the proposed Agreement include, without limitation: (i) promotion of local economic and commercial development and stimulation of the local economy; (ii) increase of employment opportunities in the Town; (iii) expansion and retention of commercial enterprises in the Town; (iv) increase to the Town’s tax base, which will result in significant additional tax revenues for the Town; and (v) improvement of public facilities and infrastructure in and around the Project Site, all of which inure to the economic health and public welfare of the Town.
The Agreement will be executed and delivered pursuant to Amendment No. 772 to the Constitution of Alabama of 1901, as amended. The Agreement will be effective as of the date stated in the preamble of the Agreement.
All interested persons may examine and review the Agreement and all relevant documents pursuant to which the expenditures are to be made, and make copies thereof at their personal expense, at the offices of the Town Clerk of the Town of McIntosh, Alabama located at 206 Commerce Street, McIntosh, AL 36553, during normal business hours, before and after the scheduled meeting of September 8, 2026, of the Town Council referenced herein.
