PUBLIC HEARING
LEGAL NOTICE
TO WHOM IT MAY CONCERN
Notice is hereby given that a hearing will be held before the Department of Finance of the State of Alabama in Room E-315 at the State Capitol, located at 600 Dexter Avenue in Montgomery, Alabama, at 2:00 p.m. Central Time on April 24, 2026, to determine whether consent should be given PowerSouth Energy Cooperative (“PowerSouth”) to issue and sell its private placement bonds in one or more series to qualified institutional purchasers in an aggregate principal amount not to exceed $350,000,000 (“Bonds”).
The proceeds of the Bonds will be used for the benefit of PowerSouth to finance interim expenditures made by PowerSouth on various transmission, operation and generation capital expenditure projects, to provide liquidity for its operational needs, to refinance short-term indebtedness borrowings previously used for such interim expenditures with longer term fixed interest rate indebtedness, and to provide funding and liquidity for general operating purposes of PowerSouth.
Any person having an interest in these matters may attend the hearing and be heard on the question of whether the issuance of said bonds serves some public need and is in the public interest.
